NORTHEAST REPUBLICAN WOMEN’S CLUB
BY-LAWS
Article I - Name
The name of this group shall be the Northeast Republican Women’s Club.
Article II – Purpose
The purpose of this group shall be to educate women politically, to encourage them to disseminate knowledge of government affairs, and to become active in the Republican Party.
Article III – Membership
Any woman interested in the aims and purposes of this group may become a member upon payment of dues to the Treasurer.
Article IV — Dues
Section 1. The dues of the group shall be established at the November meeting.
Section 2. Membership dues are payable for the current year on January 1st. If dues are paid after January 1st, the payment is for current year membership dues.
Article V — Meetings
Section 1. Regular meetings of the group shall be held on the second Tuesday of the months of January through June and September through December.
Section 2. Fifteen members shall constitute a quorum at general meetings.
Section 3. The President may call a special meeting of the organization when necessary.
Article VI —Officers/Executive Board
Section 1. The Officers shall be President, First Vice President, Second Vice President, Recording Secretary, Corresponding Secretary and Treasurer. The President, Vice President, Second Vice President and Treasurer shall have been a member for one year prior to election.
Section 2. These Officers shall be elected as provided in Article IX.
Section 3. Officers shall be elected to hold office for one year and may serve two or more consecutive years.
Section 4. These Officers shall comprise the Executive Board.
Section 5. The Executive Board may authorize expenditures of up to $500.
Article VII — Duties of Officers
Section 1 – President
In the absence of the President, the duties of this office shall be performed by the First Vice President, Second Vice President, Recording Secretary or Corresponding Secretary, in that order.
Section 3 – First Vice President
Section 1. The Board of Directors shall consist of all elected officers, the immediate past president, and committee chairpersons.
Article IX - Nominations and Election
Section 1. The nominating committee shall consist of three members. The chairperson shall be appointed by the President. The remaining members will be selected by the chairperson with assistance from the Board.
Section 2. The committee report shall be given at the October meeting. Nominations from the floor will be accepted at that time. Prior consent of the nominee must be obtained.
Section 3. Elections of officers will take place at the November meeting.
Section 4. Incoming officers shall assume duties of respective officers upon installation at January meeting.
Article X – Vacancies
Section 1. A vacancy in the office of President shall be filled by the First Vice President until the next election; if the First Vice President cannot fill the position, the Executive Board will appoint an interim president until the next election.
Section 2. All other vacancies for the unexpired terms of officers shall be filled by appointment by the Executive Board.
Article XI – Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order, (Newly Revised) shall govern the Northeast Republican Women’s Club.
Article XII – Parliamentary Amendments
Section 1. These by-laws may be amended at any general meeting by two- thirds vote of the members present, provided written notice of the proposed amendment(s), has been presented to the group one month prior to said meeting. Upon adoption of the amendment(s) they must be signed by the Executive Board and filed by the Recording Secretary.
Section 2. The by-laws shall be reviewed on each even numbered year. A By- laws Committee shall be convened by the President.
Section 3. They shall be submitted first to the Executive Board for review.
Section 4. The revised by-laws shall be submitted in written form to the membership for Ratification.

- Presides at all regular and board meetings of the club.
- Develops and issues meeting agendas, newsletters and communications.
- Appoints Committees and Chairs needed to promote the work of the club.
- Serves as ex-officio member of all committees except Nominating.
- May vote, if by ballot, or to break a tie.
- Calls special meetings of the club as needed.
- Shall have signatory authority to pay bills when necessary.
- Performs all other duties as may be required.
In the absence of the President, the duties of this office shall be performed by the First Vice President, Second Vice President, Recording Secretary or Corresponding Secretary, in that order.
Section 3 – First Vice President
- Serves as Membership Chair and initiates activities to increase membership.
- Organizes and distributes membership information and updates throughout the year.
- Sends Welcome Package (including by-laws) to new members.
- Introduces new members at meetings.
- Provides name tags for new members, distributes and collects name tags at meetings.
- Assumes duties of President in her absence.
- Performs all other duties as may be required.
- Serves as Luncheon/Meeting Reservation Chair and initiates communication process to accept and receive reservations.
- Makes luncheon reservations and coordinates all other arrangements that may be needed.
- Sends requests for remittance of luncheon cost to those who make reservations and do not attend or cancel by the deadline.
- Assumes duties of the President and First Vice President in their absence.
- Performs all other duties as may be required.
- Receives and distributes all funds as authorized by the group, substantiated by Statement(s).
- Prepares Budget, with assistance of the Executive Board.
- Budget will be submitted for approval at the regular February meeting.
- Fiscal year will run from January 1st to December 31st.
- Keeps accurate records, including special funds. PAC funds will be maintained in a separate checking account in accordance with Ohio State Law.
- Files all necessary and or required finance reports related to club business.
- Submits a written and/or oral report to the membership at each general meeting and to the Board of Directors as necessary.
- Submits books for audit within one month of receipt of the January bank statement, or at the request of the Board.
- Signs all checks and collects money for luncheons and membership dues.
- Keeps minutes of all membership and board meetings.
- Submits minutes to membership for approval.
- Maintains the organization’s important documents and files.
- Answers all communications promptly as needed.
- Sends thank you notes to guest speakers, cards/notes to members on behalf of the club, notes to anyone providing goods or services to the club, and other correspondence deemed appropriate.
Section 1. The Board of Directors shall consist of all elected officers, the immediate past president, and committee chairpersons.
- This Board may act on behalf of the organization between regular meetings, including approval of action “in the name of NRW” with ratification by the general membership at the regular meeting, if necessary.
- Action of the Board shall be subject to orders of the membership in compliance with by-laws.
- All meetings of the Board of Directors shall be called by the President.
- A majority of the members of the Board shall constitute a quorum.
- A combined meeting of the outgoing and incoming Boards shall be held in January.

STANDING RULES
- The President shall select two members who will serve as the audit committee, auditing the Treasurer’s books within one month of receipt of the January bank statement. The outgoing and incoming Treasurers must be present at this meeting.
- An effort shall be made to maintain a minimum balance of $300 in the treasury from the time of the audit until the first meeting in January.
- In the event that a time element prohibits the group from approving an emergency action, the Executive Board, after majority approval may act in the name of the Northeast Republican Women’s Club.
- Any literature, petitions, etc. must be cleared through the President before dissemination at club meetings.
- The Chairperson of the Nominating Committee shall be responsible for securing the installing officer, if the President-elect desires. 7
- Speakers for all official functions of the Northeast Republican Women’s Club must be members of the Republican Party, unless speaking on a nonpartisan issue.
- Anyone making a luncheon reservation and failing to attend or cancel by the deadline will be billed for said luncheon.
- The President and Treasurer shall sign the bank signature card so that two people are authorized to sign checks for the group.
